Our Full Company Secretary Service includes up to 15 changes to your company per year, the preparation and filing of your annual Confirmation Statement, monthly guidance notes written by a qualified solicitor, and a dedicated account manager who will prepare and maintain your company registers.

What's included?

  • Up to fifteen changes to your company per year, including share transfers or director detail changes, etc. (additional transactions are charged at our standard rates).
  • Preparation and filing of your annual Confirmation Statement, including the Companies House filing fee of £34.00.
  • Preparation and maintenance of all five company registers, as required by the Companies Act 2006.
  • Monthly solicitor-drafted guidance notes covering key issues and processes all company owners should be aware of, such as employee share schemes and trademarking.
  • Dormant company accounts - if your company is dormant we will file your dormant company accounts and provide you with a letter to notify HMRC your company is no longer trading.
  • A dedicated account manager, who is an experienced company secretarial professional, on hand to process your instructions.

How much does it cost?

Our Full Company Secretary Service is charged at £149.99 +VAT and is renewable on an annual basis at the same price. Notice will always be given in advance of your renewal date.

What happens next:

  • Once you have purchased this service, we will appoint an account manager who will send you a personal introduction, as well as provide you information on how you can contact them and how the service works.
  • We will prepare and store your company registers for your convenience. If you require a copy of these, we will forward them to you by email.
  • Your dedicated account manager will always be on hand, to carry out changes, maintain your registers and deliver copies, and file your annual Confirmation Statement.

Yes. You do not need to have formed your company through Quality Company Formations to purchase this service.

Your appointed account manager will be available to take your queries, by phone or by email, Monday to Friday between 9am and 5pm (excluding public holidays).

In our experience, our customers do not want the administrative burden of keeping a copy of their company registers; therefore we will store your registers for you at our offices. Your registers are available on request.

Where possible, we can also provide a register of transfers, register of allotments, and register of director’s usual residential addresses, on request.

All the key structural and administrative changes most companies will need are included as part of this service. This ranges from things such as appointment of directors, issuances of shares to new shareholders and People with Significant Control filings.

As part of this service we will carry out up to fifteen company secretarial changes to your company per year. This only applies only to the company that the Full Company Secretary Service has been purchased for.

The Full Company Secretary Service can be used by private companies limited by shares and guarantees. Unfortunately, it is not available to PLCs and LLPs.

Yes. If you have already prepared supporting documentation for a company change that is within the scope of this service, and you would like us to make the filing at Companies House, this will count as one of your fifteen annual company changes.

We maintain your company’s statutory register of members, which states who owns your company. In addition, we also provide your register of directors, register of secretaries, register of charges and register of People with Significant Control. Where possible, we can also provide a register of transfers, register of allotments, and register of director’s usual residential addresses.

We will contact you by email in advance of your filing date and ask you to confirm certain details about your company. We will then prepare and file your Confirmation Statement based on your answers. The Companies House disbursement fee (filing fee) is included within the price of this service, so you will not be charged this fee.

If your company is dormant, simply contact your account manager and request our dormant company service.

We will provide you with a letter to inform HMRC of your company's dormant status for Corporation Tax purposes, and also prepare and file your dormant company accounts with Companies House.

If you have any questions about the process, your account manager will be available to explain everything in detail.

No. We do not sign any documentation on behalf of a company.

Quality Company Formations will carry out identity verification checks on the named customer and the beneficial owners associated with the company.

The monthly guidance notes contain practical information and guidance on how to address key issues or deal with certain matters that many companies will face in the course of their lives. This includes things such as what to consider when entering into a contract with another company, key employment legislation you need to be aware of, as well as overviews of how your company’s articles of association work (and amendments you may wish to consider). These guidance notes are written by a qualified solicitor, and will be delivered to you on a monthly basis by email.
