{"id":8986,"date":"2021-09-26T07:55:38","date_gmt":"2021-09-26T06:55:38","guid":{"rendered":"https:\/\/www.qualitycompanyformations.co.uk\/blog\/?p=8986"},"modified":"2024-05-01T00:26:25","modified_gmt":"2024-04-30T23:26:25","slug":"limited-liability-partnership-formation","status":"publish","type":"post","link":"https:\/\/www.qualitycompanyformations.co.uk\/blog\/limited-liability-partnership-formation\/","title":{"rendered":"How is a limited liability partnership formed?"},"content":{"rendered":"<p>Since 2001, when the <a href=\"http:\/\/www.legislation.gov.uk\/ukpga\/2000\/12\/contents\" data-wpel-link=\"external\" target=\"_blank\" rel=\"noopener noreferrer\">Limited Liability Partnership Act 2000<\/a> came into force, many professionals who traditionally operated as an ordinary business partnership &#8211; such as solicitors and accountants &#8211; switched to the limited liability partnership (LLP) model.<\/p>\n<p>In this blog, we will explain how to form a limited liability partnership, but let\u2019s first have a recap of the key features of an LLP.<\/p>\n<h3>What is a limited liability partnership?<\/h3>\n<p>A limited liability partnership or LLP is a business structure that combines some of the benefits of the ordinary partnership model with those of limited companies.<\/p>\n<p>Key features of LLPs include:<\/p>\n<ul>\n<li>Limited liability &#8211; members of an LLP are generally not personally liable for the debts of the business.<\/li>\n<li>Legal personality &#8211; LLPs are considered to be legal entities in their own right, in the same way as limited companies.<\/li>\n<li>Companies House &#8211; limited liability partnerships must be registered with Companies House and file annual accounts and confirmation statements, in the same way as a limited company.<\/li>\n<li>No shares or Corporation Tax &#8211; LLPs do not have shares and do not pay Corporation Tax. Distributions of profits are normally set out in a Members\u2019 Agreement and each member is individually liable to pay tax on their own portion of takings from the business.<\/li>\n<li>Privacy and flexibility &#8211; LLPs do not have publicly viewable articles of association that govern their processes. As such, they tend to have more flexibility compared to companies. Also, if they choose to implement a Members\u2019 Agreement, this is a private document.<\/li>\n<\/ul>\n<h3>How do I form a limited liability partnership?<\/h3>\n<p>The general process of forming an LLP is similar to setting up a limited company. The main steps are as follows:<\/p>\n<h4>Choose a name for your limited liability partnership<\/h4>\n<p>It is first necessary to check the <a href=\"https:\/\/find-and-update.company-information.service.gov.uk\/search\/companies\" data-wpel-link=\"external\" target=\"_blank\" rel=\"noopener noreferrer\">public register of companies<\/a> to find out which names have already been taken.<\/p>\n<p>The name cannot be too similar to the existing name of an LLP or limited company. It cannot contain any words which could be considered offensive or discriminatory, or which are prohibited by the Companies House <a href=\"https:\/\/www.gov.uk\/government\/publications\/incorporation-and-names\/annex-a-sensitive-words-and-expressions-or-words-that-could-imply-a-connection-with-government\" data-wpel-link=\"external\" target=\"_blank\" rel=\"noopener noreferrer\">list of sensitive words<\/a>.<\/p>\n<p>Furthermore, the full official name of an LLP must end in \u201cLimited Liability Partnership\u201d or \u201cLLP\u201d &#8211; or their Welsh equivalents.<\/p>\n<h4>Register with Companies House<\/h4>\n<p>Once you have chosen a name, it is time to form your LLP by registering it with Companies House. This cannot be a PO Box number; it has to be a full physical mailing address in the same country in which the LLP is being registered.<\/p>\n<p>A home address can be used but this will be publicly viewable.
